Terms of Service

BoardLink is a board and committee governance platform operated by DomTM Company for Geospatial Information System Applications and Web Services ("DomTM", "we", "us"), commercial registration 1010754834, Riyadh, Kingdom of Saudi Arabia.

The platform is delivered and operated on DomTM's behalf by its technology delivery partner, AL Amari and Her Partner Co. ("BankCube"), commercial registration 98118, Amman, Jordan. Your agreement under these Terms is with DomTM.

By registering for or using BoardLink, you, and where applicable the organization you represent, agree to be bound by these Terms. If you are accepting on behalf of an organization, you confirm that you are authorised to bind it.

BoardLink helps board secretaries, committee chairs and governance teams record and evidence meetings, agendas, minutes, resolutions, votes, evaluations and documents, with an audit trail.

BoardLink is a workflow and evidence platform. It does not exercise governance judgement, does not vote, and does not make decisions on behalf of your organization or any of its officers. It does not provide legal, regulatory or governance advice.

You must be authorised by your organization, or eligible as an individual director or governance professional, to hold an account.

Access is governed by role: SuperAdmin, OrgAdmin, Chair, Member and Guest. Guest access is granted per meeting or document and is read only.

You are responsible for activity on your account and for keeping your credentials confidential. Tell us without delay if you believe your account has been compromised.

You agree not to upload unlawful, fraudulent, defamatory or harmful content; not to submit content you know to be false or misleading; not to attempt to access data or accounts you are not authorised to access; not to interfere with the operation or security of the platform; and not to use BoardLink in breach of any applicable law of the Kingdom, including the Personal Data Protection Law.

We may suspend or terminate access for breach of this section.

Your organization retains full ownership of the governance data, documents, minutes and resolutions it uploads. We claim no ownership of it.

Data is logically isolated between organizations. We process your data only to provide the service, in accordance with our Privacy Notice.

You are responsible for the accuracy and lawfulness of the content you upload, and you will indemnify us against any third-party claim arising from content that breaches Section 4.

The BoardLink platform, including its software, design, documentation and trademarks, is owned by DomTM and its technology delivery partner, AL Amari and Her Partner Co. ("BankCube"), and is protected by applicable intellectual property law.

You are granted a non-exclusive, non-transferable right to use the platform for the term of your subscription. No other rights are granted. You may not copy, reverse engineer, or redistribute any part of the platform without our written permission.

Subscriptions are sold for a fixed term as selected at purchase or agreed in a signed order form. Prices are in Saudi Riyals and are subject to value added tax at the prevailing rate. A tax invoice is issued for every payment.

Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. We give notice before every renewal: at least thirty days before an annual renewal, at least seven days before a monthly renewal, and at least sixty days before renewal of an organizational subscription.

You may cancel at any time. Individual subscribers may cancel online from account settings. Cancellation stops the next renewal; access continues to the end of the term already paid for and no part of that term is refunded. Organizational subscriptions are cancelled by the named billing administrator in accordance with the applicable order form.

Refunds are governed by our Refund and Cancellation Policy published on board-link.com. Nothing in these Terms limits any right an individual consumer holds under the Electronic Commerce Law of the Kingdom, including the right to cancel and obtain a refund within seven days of purchase where the service has not been used.

If a payment fails we will notify you and attempt collection again. Your access continues during that period. If payment is not received we may restrict the account to read only and export access, and we will tell you before we do.

BoardLink includes features that use artificial intelligence to assist your governance work, for example document summarization, extraction of action items, and analysis of committee composition against a mandate. Availability depends on your subscription tier and may change.

You retain ownership of your content and of any output produced from it.

Artificial intelligence output is provided for your consideration and is not a substitute for the judgement of your board, its committees, your officers or your advisers. Such systems can produce output that is incomplete or incorrect. You are responsible for reviewing any output before relying on it or entering it into your governance record, and we are not liable for any decision taken in reliance on unreviewed output.

Content generated or materially assisted by artificial intelligence is identified as such within the platform.

Where an artificial intelligence service provider is engaged, it acts as a processor under contract and is disclosed in our provider register. We give notice before engaging a new provider that processes your content.

You agree not to use these features to generate unlawful content, to impersonate any person, or to produce material intended to mislead as to its origin.

We aim to make BoardLink available 99.5% of each calendar month, excluding maintenance notified at least five business days in advance.

This is a target and not a guarantee. No service credit or other remedy arises from a failure to meet it unless a separate service level agreement has been signed with your organization. We do not warrant that the service will be uninterrupted or free of error.

These Terms apply for as long as you hold an account. We may suspend or terminate access for breach of these Terms, for non-payment, or where required by law. Your organization may terminate at any time in accordance with Section 7.

On expiry or termination we keep your organization's data in a retrievable form and provide export access for at least ninety days. We will not delete it without giving you at least thirty days written notice. Suspension for non-payment does not remove your ability to export.

If a security incident affects your organization's data, we will notify your named administrator without undue delay and provide the information you reasonably need to meet your own regulatory obligations.

We treat the content your organization uploads as confidential and will not disclose it except as necessary to provide the service, as instructed by your organization, or as required by law or a valid order.

To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia, our total liability for any claim arising from your use of BoardLink is limited to the greater of the fees paid for the service in the twelve months preceding the claim, or five thousand Saudi Riyals.

We are not liable for indirect, incidental or consequential loss, or for loss of profit, business or anticipated savings.

Nothing in these Terms excludes liability that cannot be excluded under Saudi law.

Where BoardLink is provided for a pilot, trial or evaluation, it is provided without any availability commitment, the features made available may change, and either party may end the pilot on written notice. The terms of a signed pilot agreement prevail over this section.

We may update these Terms. The current version is published on board-link.com with the date it was last revised, and we will give organizational subscribers advance notice of any material change.

You may not assign these Terms without our written consent. We may assign them to a successor entity, including on a corporate reorganization or spin-off, on notice to you.

Neither party is liable for failure to perform caused by an event beyond its reasonable control.

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute is subject to the exclusive jurisdiction of the competent courts of Riyadh.

These Terms are published in Arabic and English. In the event of any discrepancy, the Arabic version prevails.
